This Coaching Agreement (“Agreement”) is between the Client (“Client”) and Eric Stanley Coaching, LLC (“Coach”). Coaching services are offered remotely via video conferencing within the United States. Coaching is a non-clinical service and does not constitute mental health treatment.

The Coach maintains an active credential with the International Coaching Federation (ICF) and agrees to adhere to the ICF Code of Ethics, Core Competencies, and professional conduct standards in the delivery of coaching services.

The Client understands that coaching is not therapy, counseling, psychotherapy, psychiatric care, or clinical mental health treatment. Entering this Agreement does not create a therapist–client relationship. Although the Coach is clinically trained, the Coach’s training is not invoked within the coaching relationship, and no clinical services are being provided.

The Coach maintains confidentiality regarding information shared in coaching sessions except where disclosure is required by law (e.g., risk of harm to self or others, court order). Coaching confidentiality does not constitute legal privilege or HIPAA-level protection as no clinical services are rendered.

The Client acknowledges responsibility for his/her/their own physical, mental, and emotional well-being, decisions, actions, and outcomes. Coaching does not diagnose, prevent, treat, or cure any medical or mental health conditions. The Client agrees that Eric Stanley Coaching, LLC is not liable for any direct or indirect results of coaching services.

Coaching is a comprehensive process that may address various life domains including work, relationships, health, finances, education, habits, communication, and recreation. How the Client applies insights and makes decisions within these areas remains solely the Client’s responsibility.

Coaching services are not a substitute for professional advice provided by legal, medical, mental health, financial, or other qualified professionals. The Client is encouraged to seek independent professional guidance as appropriate. If the Client is currently receiving care from a mental health professional, the Coach may recommend informing that provider of the coaching relationship.

Coaching sessions are provided via Zoom or similar video conferencing platforms. The Client acknowledges that electronic communication may involve privacy or data security risks and consents to the use of digital platforms for coaching.

Item descriptionCoaching services are offered to Clients residing within the United States. Coaching services are not offered internationally at this time.

The Client agrees to communicate honestly, remain open to feedback and support, and invest the time and energy necessary to engage in the coaching process.

Session fees may be listed publicly; however, payment and invoicing are managed privately. Completed sessions are non-refundable. The Client agrees to pay for services prior to the start of sessions.

Sessions must be cancelled or rescheduled with at least forty-eight (48) hours’ notice. Missed sessions or late cancellations may be billed at the full session rate at the discretion of the Coach. Calls that are more than 10 minutes late will be considered missed/cancelled and will be subject to the cancellation policy. The Client will be charged for the session.

Either party may terminate the coaching relationship at any time. The Client may request closure, final reflection, or transition support if desired, with two weeks’ written notice.
If more than 2 appointments in 4 months are missed/cancelled/rescheduled with less than 48 hours’ notice, the Coach reserves the right to suspend further service.

This Agreement shall be governed by the laws of the State of New Jersey. Any disputes arising from this Agreement shall be resolved under New Jersey law.

By engaging in coaching with Eric Stanley Coaching, LLC, the Client acknowledges understanding and agreement to the terms of this Agreement and voluntarily consents to participate in coaching under these conditions.

If primary payment comes from a party other than Client, or Client is a minor, the Client agrees that the Coach may discuss coaching sessions, billing information, and other information regarding the coaching agreement with the client’s sponsor(s), listed below. The Client reserves the right to request that certain information shall not be disclosed and the Coach agrees to operate in good faith by consulting the Client before discussing sensitive information.

Except as expressly provided in this agreement, the Coach makes no guarantees or warranties, express or implied. In no event will Eric Stanley Coaching be liable to the Client for consequential or special damages. Notwithstanding any damages that the Client may incur, Eric Stanley Coaching, LLC entire liability under this agreement, and the Client’s exclusive remedy, will be limited to the amount paid by the Client to Eric Stanley Coaching, LLC under this agreement for all services rendered up until the termination date.
This is the entire agreement of the parties, and reflects a complete understanding of the parties with respect to the subject matter. This agreement supersedes all prior written agreements, oral representations, discussions, or understandings.
If a dispute arises out of this agreement that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to thirty (30) days after notice given. If the dispute is not resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.
Client, Sponsor (if applicable), and Coach each sign the Client Agreement on or before their first coaching appointment; each party retains a copy for their records and submits an electronic copy to Eric Stanley Coaching LLC.
